In the following agreement, the party who is granting the right to use pictures will be referred to as "Fantasy Modeling", and the party who is receiving the right to use the licensed property will be referred to as "licensee". Picture set included in this license will be referred to as "PICS".
1. Fantasy Modeling owns/distributes the PICS in accordance with this agreement, Fantasy Modeling grants the licensee a non-exclusive website license to display and use the PICS for online user downloading from the licensee's website. Fantasy Modeling retains title and complete ownership of the PICS. The licensee agrees not to sell or distribute the PICS (downloaded or created on CD) on diskettes, CD ROMS or any other medium. The licensee is not allowed to trade any of the PICS for a links on any other sites or any other services or products. 2. The PICS may be displayed and used within up to and no more than ten domains (which are provided by the licensee at the bottom of this agreement) that are owned and operated by the licensee. The PICS can be used for HTML design, logo design and banner design by the licensee at no extra cost. The Licensee is allowed to resize, rename or change the format of the PICS. PICS may not be used on sites on sites containing bestiality, depictions of rape, murder or child pornography (real or not). Images may not be manipulated to cause them to become in acts (i.e. Urination, defecation, insertion, etc.) other that those poses being performed in the original photo. We request that any text accompanying our models images not be defamatory. 3. For CD's purchased along with the downloaded set, shipment will occur within 5 business days of confirming payment. 4. The PICS are licensed and all models are over the age of 18 at the time of photography. 5. This agreement shall be binding on any successors of the parties. The licensee does not have the right to assign its interests in this agreement to any other party, unless the prior written consent is obtained by Fantasy Modeling. An administrative fee may apply. 6. This agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This agreement requires that licensee must e-mail Fantasy Content their license information listed below in order for this agreement to be binding. This agreement supersedes any prior written or oral agreements between the parties. 7. This agreement may be modified or amended by Fantasy Modeling, and the amendment will be sent to the licensee in writing. 8. If there is a termination of this agreement for any reason, Licensee shall immediate cease and desist any further publications, display or distribution of the licensed PICS and shall immediately return to Fantasy Content all master or videos copies of the licensed PICS in it's possession, custody or control to Fantasy Content. In the event of a termination, Licensee shall not be entitled to a refund of any portion. 9. Violation of this agreement may result in the immediate revocation of license without refund upon written notification of violation to licensee from the licensor or it's legal representation. Violation of these terms and conditions of this license by Licensee will give cause for the revocation of all rights for use of Licensor images, until the violations have been rectified to confirm to the terms of the license. Repeat violation will result in the compete revocation of license by the Licensor.
10. APPLICABLE LAW. The laws of the United States shall govern this agreement. If a court finds that any provision of this agreement is invalid or unenforceable, but that by limiting such provision it would become valid or enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. Waiver of Contractual Right The failure of either party to enforce any provision of this agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this agreement. The Licensee holds FANTASY CONTENT harmless for any legal issues relating the distribution of the PICS as it relates to the community standards and adult entertainment laws as set forth in the city/county, state or country of the Licensee and his or her websites. Fantasy Content does not warrant PICS to be acceptable in licensee's community, and the licensee has assumed full responsibility for determining what PICS are suitable for distribution. P.R.E warrants the PICS are fully copyrighted, and the licensee warrants the PICS free of intellectual property violations only. All PICS are in compliance with U.S Federal Laws.
